Agar aap property owner, real estate investor, stock market investor, shareholder, business owner, accountant ya tax practitioner hain, to Section 37, Section 37A aur capital loss rules ko samajhna bohat important hai.
Episode 6 Mein Kya Seekhein Ge?
- Section 37 — General Capital Gains
- Capital Asset ki legal meaning
- Capital Gain calculation
- Section 76 — Cost of Asset
- Section 77 — Consideration Received
- Immovable Property Capital Gains
- Pre-1 July 2024 vs Post-1 July 2024 Property Rules
- Inherited Property — Finance Act 2026 Update
- Section 37A — Shares & Listed Securities
- NCCPL / Eighth Schedule framework
- Section 38 — Capital Losses
- Section 59 — Carry Forward of Capital Loss
- Sections 236C & 236K — Property Advance Tax
Section 37 — Capital Gains
Section 37 ke basic rule ke mutabiq, jab koi person kisi capital asset ko dispose karta hai aur us disposal se gain arise hota hai, to applicable gain Capital Gains ke head mein chargeable ho sakta hai.
Capital gains ka concept sirf property tak limited nahi hai. General capital assets bhi Section 37 ke framework mein aa sakte hain, jab tak koi specific provision ya exemption apply na karti ho.
What is a Capital Asset?
Section 37 ke liye capital asset broadly kisi bhi qisam ki property ho sakti hai, chahe woh business se connected ho ya na ho.
Lekin certain items general capital asset definition se excluded hain, including:
- Stock-in-trade, consumable stores aur raw material held for business
- Assets jin par Section 22 depreciation available ho
- Assets jin par Section 24 amortisation available ho
- Certain movable property held for personal use, subject to statutory exceptions
Business stock ki sale aur capital asset ki disposal ka tax treatment same nahi hota. Stock-in-trade normally business income framework mein deal hota hai, jabke capital asset ka gain Section 37 ke under aa sakta hai.
Capital Gain Kaise Calculate Hota Hai?
Section 37 ka basic computation formula:
Capital Gain = Consideration Received − Cost of Asset
Is formula mein:
- Consideration Received: Asset ke disposal par relevant consideration.
- Cost of Asset: Section 76 aur related provisions ke mutabiq tax cost.
Section 77 — Consideration Received
Tax law mein declared sale price hamesha automatically final tax consideration nahi hoti.
Section 77 ke general rule ke mutabiq consideration received mein relevant circumstances mein amount received aur Fair Market Value ka comparison important ho sakta hai.
Practical Point:Property ya kisi capital asset ko artificially low consideration par show karne se automatically taxable gain kam nahi hota. Relevant fair market value rules ko check karna zaroori hai.
Practical Capital Gain Example
Farz karein:
- Relevant Cost of Property: Rs. 10,000,000
- Relevant Consideration on Disposal: Rs. 15,000,000
Capital Gain:
Rs. 15,000,000 − Rs. 10,000,000 = Rs. 5,000,000
Yeh Rs. 5 million basic gain hai. Final tax treatment asset ki type, acquisition date, taxpayer status aur relevant First Schedule rates par depend karega.
Capital Gains on Immovable Property
Section 37(1A) Pakistan mein situated immovable property ke gain ko special rate framework ke under deal karta hai.
Property CGT ke liye sab se important questions mein se ek hai:
Property 30 June 2024 tak acquire hui thi ya 1 July 2024 ke baad?
Pre-July 2024 vs Post-July 2024 Property Rules
| Property Acquisition | General CGT Framework |
|---|---|
| Acquired on or before 30 June 2024 | Old holding-period based Division VIII rates continue to be relevant. Rates reduce with specified holding periods depending on property type. |
| Acquired on or after 1 July 2024 | Old holding-period exemption does not apply in the same manner. Current Division VIII treatment depends significantly on taxpayer / ATL status. |
Property Acquired on or Before 30 June 2024
Older property continues under the applicable holding-period table. Broadly:
- Open plots can reach 0% after the prescribed longer holding period
- Constructed property can reach 0% after the prescribed holding period
- Flats / apartments can reach 0% after their shorter prescribed holding period
The precise applicable rate should always be checked from the relevant Division VIII table according to acquisition and disposal dates.
Property Acquired on or After 1 July 2024
Under the current framework, where the seller appears on the Active Taxpayers' List on the date of disposal, the applicable rate on the gain is generally 15%.
For an individual or AOP not appearing on the ATL, Division I rates may apply subject to the statutory minimum rate requirement. Companies not appearing on the ATL are dealt with under the applicable company-rate framework.
Important:Do not use an old holding-period exemption automatically for property acquired on or after 1 July 2024.
Inherited Property — Important Finance Act 2026 Update
Inherited immovable property capital gains mein cost determination bohat important hoti hai.
Finance Act 2026 ne Section 76(8A) insert kiya, jiske mutabiq individual ko inheritance ke through milne wali immovable property ke liye relevant cost determination mein transfer to beneficiary ke waqt applicable Fair Market Value important ho gayi hai.
Inherited property transactions Section 79 ke non-recognition rules ke sath bhi interact karte hain. Is liye actual inherited-property sale mein acquisition history, inheritance documents, transfer date, property value aur current statutory provisions ko carefully review karna chahiye.
Best Practice:Inherited property ka capital gain ordinary purchased property ki tarah blindly calculate na karein. Relevant inheritance cost basis aur acquisition facts verify karein.
Section 37A — Capital Gains on Shares & Securities
Listed securities aur stock market transactions ke capital gains ke liye Section 37A special framework provide karta hai.
Section 37A ke under relevant securities mein applicable circumstances mein shamil ho sakte hain:
- Shares of public companies
- Modaraba Certificates
- Redeemable capital instruments
- Debt securities
- Exchange Traded Fund units
- Derivative products
Basic Shares Gain Formula
Section 37A ka basic computation concept:
Gain = Consideration Received − Cost of Acquisition
NCCPL & Eighth Schedule
Listed securities ke taxation mein National Clearing Company of Pakistan Limited (NCCPL) aur Eighth Schedule ka important operational role hai.
Applicable stock-market transactions mein capital gain computation aur CGT collection NCCPL framework ke through ho sakti hai.
Important Exception:Har listed-company share disposal automatically Section 37A treatment mein nahi rehta. Certain off-market disposals jo registered stock exchange ke through na hon aur NCCPL se settle na hon, applicable circumstances mein Section 37 ke framework mein aa sakte hain.
Section 38 — Capital Losses
Agar capital asset profit ki bajaye loss par dispose ho, Section 38 capital loss computation ka framework provide karta hai.
Basic loss formula:
Capital Loss = Cost of Asset − Consideration Received
Capital loss ko automatically salary, property ya ordinary business income ke against adjust nahi kiya ja sakta.
Section 59 — General Capital Loss Carry Forward
General capital loss jo current year mein fully absorb na ho sake, Section 59 ke under future Capital Gains ke against carry forward ho sakta hai.
General rule ke mutabiq capital loss:
maximum six succeeding tax years
tak carry forward ho sakta hai, subject to applicable conditions.
Important: Section 37A Securities Loss Ka Separate Rule
Listed securities ka loss general Section 59 rule se confuse nahi karna chahiye.
Section 37A ke under securities loss ko generally securities gains ke against hi set off kiya jata hai.
Tax Year 2019 onwards applicable unabsorbed securities loss ko relevant provision ke mutabiq:
up to three succeeding tax years
tak Section 37A securities gains ke against carry forward kiya ja sakta hai.
Do Not Confuse:- General Capital Loss → Section 59 → up to 6 succeeding tax years
- Section 37A Securities Loss → separate Section 37A rule → up to 3 succeeding tax years
Sections 236C & 236K — Property Transaction Advance Tax
Property sale aur purchase ke waqt capital gains tax ke ilawa advance tax collection provisions bhi relevant hote hain.
Section 236C — Seller / Transferor
Property sell ya transfer karte waqt responsible registering authority seller / transferor se applicable advance tax collect karti hai.
Section 236K — Buyer / Transferee
Property purchase ya transfer ke waqt purchaser / transferee se applicable advance tax collect kiya jata hai.
| Provision | Current Base Rate under Finance Act 2026 Framework |
|---|---|
| Section 236C — Seller | 2.75% of gross consideration, subject to applicable statutory / Tenth Schedule treatment. |
| Section 236K — Buyer | 1.25% of fair market value, subject to applicable statutory / Tenth Schedule treatment. |
Advance tax collected under these provisions is generally adjustable against applicable annual tax liability, subject to special statutory cases.
Important:Section 236C / 236K withholding and Section 37 capital gains tax are not the same thing. Property registration tax collection should be properly reconciled in the annual Income Tax Return.
